Set up with the future in mind.
Incorporation establishes a legal vehicle for your business. The right choice depends on how you will own it, fund it, share profits and manage responsibilities. SBA Associates can help organise these decisions, prepare the agreed application and plan the registrations that follow. The exact scope is confirmed before work begins.
*Companies and LLPs are distinct legal entities. Limited liability has exceptions, including fraud, personal guarantees and statutory responsibility.
Different structures. Different priorities.
Limited Liability Partnership
An LLP offers a partnership-based way to organise ownership and management, without conventional equity shares. The LLP agreement records contributions, profit sharing and decision-making. It needs at least two partners and two individual designated partners, including a resident designated partner as required by law.
Private limited company
Often considered when founders expect to issue shares, bring in investors or build a formal governance framework. Ordinarily it starts with at least two members and two directors. Share transfers and shareholder rights are governed by company law and the constitutional documents.
One Person Company
An OPC has one member and at least one director. Prescribed eligibility and nominee arrangements apply. It can suit an eligible solo founder seeking a company structure, but admitting another shareholder requires an appropriate change of structure.
Public limited company
A public company has a different ownership and governance framework and requires at least three directors. Incorporation alone does not list its shares on an exchange or permit it to raise money without the applicable securities-law process.
Section 8 company
For qualifying not-for-profit objects such as education, research or social welfare. Income is directed towards its objects and dividends to members are prohibited. The proposed activities and licensing requirements need careful assessment.
Producer & Nidhi companies
Producer companies serve eligible producer activities and member groups. Nidhi companies are subject to specialised mutual-benefit, membership and regulatory conditions. These are purpose-specific options, not general substitutes for an ordinary trading company.
A sole proprietorship or traditional partnership may also be worth considering. They are not incorporated companies; ownership, liability and registration requirements differ.
Company, LLP or OPC?
| Consideration | Private limited | LLP | OPC |
|---|---|---|---|
| Owners at the start | At least two members | At least two partners | One member |
| Management minimum | Two directors | Two designated partners | One director |
| Ownership model | Shares | Partnership interests | Single-member shares |
| Growth discussion | Equity and investor participation | Partner admission and contributions | Solo ownership; change structure for additional members |
| Ongoing framework | Company-law reporting and governance | LLP agreement, accounts and filings | Company rules with applicable OPC provisions |
Residency, eligibility, business activity and applicable rules must also be checked. Lower incorporation cost does not necessarily mean lower overall tax or compliance cost.
Two routes. One organised process.
For a company
- Agree the foundation. Confirm activities, subscribers, directors, registered office and capital arrangements.
- Check the name. Consider MCA naming rules and trademark conflicts; approval is the Registrar’s decision.
- Prepare the application. Arrange digital signatures, director details, constitutional documents, consents and declarations.
- File through SPICe+. Use Part A for the name and Part B and applicable linked forms for incorporation and integrated services.
- Review the outcome. Address queries and check the incorporation certificate and identifiers issued on approval.
For an LLP
- Agree partner arrangements. Set out roles, contributions, profit sharing and proposed activities.
- Prepare the name and records. Assemble partner, designated-partner and office information with valid digital signatures.
- Submit FiLLiP. Follow the MCA name-reservation and LLP incorporation route, including identification-number requests where available.
- Check registration details. Review the LLP identification number and tax identifiers issued through the applicable process.
- Complete the agreement filings. Execute the LLP agreement with applicable stamp duty and attend to the prescribed follow-up filing.
Your document checklist.
A tailored checklist avoids requesting unnecessary records. Typical categories include:
People & ownership
Identity and address evidence; PAN where applicable; contact details; consents; and subscriber, director or partner information. A corporate subscriber may need authorisations and constitutional records.
Registered office
Ownership or occupancy evidence, a lease or rent arrangement where relevant, an appropriate recent utility bill and the owner’s consent where required. Names and addresses should agree across records.
Business & signatures
Proposed names, activity description, capital or contribution details, digital signatures and the relevant declarations. A company needs its memorandum and articles; an LLP needs its partnership agreement.
Share sensitive documents through the channel agreed for your assignment. Do not send banking passwords or payment OTPs through the enquiry form.
Starting in India from overseas?
Foreign ownership needs a separate assessment of investment rules, sector restrictions, beneficial ownership and permitted entry routes. Passports, foreign address evidence and documents executed abroad can require notarisation, apostille or consular authentication, depending on the circumstances. Company and LLP residency tests differ; check the applicable financial-year requirements before appointing directors or designated partners.
We can discuss the coordination required for your proposed structure and the scope of support needed from suitably qualified professionals. An India incorporation certificate does not replace foreign-investment reporting or sector approvals.
Fees and timing depend on your application.
What affects the cost?
Entity type, capital or contribution, state stamp duty, filing charges, digital signatures, overseas documents and additional registrations all affect the total. Ask for a quotation that separates professional fees, taxes and third-party or government charges.
What affects the timeline?
Name objections, inconsistent records, signing arrangements, portal availability, regulatory permissions and Registrar queries can change the schedule. We discuss an indicative plan after reviewing your facts; approval dates remain outside our control.
Plan the first year from day one.
Arrange the business bank account, books and ownership records, then identify the entity’s initial and recurring obligations. A company may need auditor appointments, commencement-related filings, meetings, annual accounts and returns. An LLP needs its agreement-related filings, accounting records and applicable annual returns and solvency statements. Tax, withholding, audit and payroll obligations depend on the actual business.
GST registration, Udyam, DPIIT recognition, IEC, food licensing and trademark protection are separate matters with their own eligibility tests. Incorporation does not automatically grant all of them.
Before you begin.
Can one person form an LLP?
No. An LLP requires at least two partners. An eligible individual considering single-member ownership can explore an OPC or a proprietorship instead.
Is a private limited company always the best choice?
No. Discuss how you expect to fund the business, share control and handle recurring obligations. An investor-ready share structure and a partner-run service business can have different needs.
Does registration protect my brand?
Name approval and trademark registration are separate. Check the proposed brand before spending on packaging, signage or a domain.
Is GST compulsory immediately?
Not solely because an entity is incorporated. The registration requirement depends on the applicable GST provisions and your activities, supplies and circumstances.
Will incorporation guarantee finance or recognition?
No. Banks, investors and recognition programmes apply their own assessment and eligibility rules. Incorporation is one step in establishing the business.
What should I share with SBA first?
Your proposed activity, number and residency of founders, office state, expected funding and intended start date are a useful starting brief. We can then agree the scope and document checklist.
