Discuss U.S. company formation ↗

A considered start in the United States

Company formation for founders exploring the U.S. market from India.

Begin with your ownership plans, customer location and funding needs. Compare entity structures, identify the state where operations will take place, and prepare a registration and compliance checklist.

LLC, C corporation or S corporation?

OptionKey considerations
LLCA state-law entity with members. Most states allow foreign members and a single owner. Federal tax classification depends on ownership and elections.
C corporationA corporate structure with shares. Consider governance, investor expectations, corporate taxation and potential shareholder taxation.
S corporation statusA federal tax election with eligibility restrictions, including no non-resident alien shareholders, no more than 100 shareholders and one class of stock. Citizenship alone does not determine eligibility.

Other structures include sole proprietorships and nonprofits. Their suitability depends on the activity, liability exposure and applicable rules. IRS: S corporation eligibility ↗

Why consider a U.S. entity?

A U.S. presence may support market access, commercial relationships and investment discussions. Limited liability depends on the structure and circumstances. Incorporation does not guarantee financing, tax savings or protection against every personal liability.

Choosing a formation state

States to evaluate include Delaware, Wyoming, Nevada, Ohio, New York, New Jersey, Texas, Florida and California, along with the District of Columbia. Compare operating location, filing fees, annual obligations, taxes and investor requirements. A low formation fee alone is not a complete comparison.

Operating beyond the formation state may require additional registration. A registered agent receives legal and official documents in the registration state; this is distinct from banking or immigration approval.

Prepare your document checklist

  • Proposed company names and business activity
  • Ownership and management details
  • Passport and address evidence requested for identity checks
  • Formation documents and signed authorisations
  • Operating agreement or corporate bylaws, as appropriate
  • Information required for IRS Form SS-4

The final list varies by state, provider, entity and bank.

EIN and federal tax classification

An Employer Identification Number identifies an entity for federal tax administration. Form the legal entity before applying and use the name on its formation documents. The IRS issues EINs without an application fee; professional assistance may carry a separate fee.

International applicants should use the application route allowed by IRS instructions. Online eligibility differs from fax, mail and international telephone procedures. An EIN does not itself approve a bank account or payment-processing account.

A single-member domestic LLC is generally disregarded for federal income tax unless it elects corporate treatment. A domestic LLC with multiple members generally defaults to partnership treatment unless it elects otherwise. “Pass-through” does not mean every owner has no tax or reporting obligations.

From planning to post-formation

  1. Define the structure. Review owners, operations and funding plans.
  2. Prepare the filing. Check the name, agent arrangements and required documents.
  3. Submit to the state. Retain the accepted formation records.
  4. Apply for the EIN. Confirm responsible-party details and the correct application method.
  5. Prepare operations. Review banking, licences and ongoing reporting requirements.

State processing, IRS review and bank verification run on separate schedules. Request a current estimate for each stage rather than assuming a guaranteed completion date.

Frequently asked questions

Can a non-U.S. resident own an LLC?

Most states permit foreign members. Check the state rules and restrictions on the proposed business activity.

Can an LLC have one owner?

Most states permit single-member LLCs. Ownership count also affects the default federal tax classification.

Does forming an entity require a U.S. visit?

Formation may be arranged remotely. Confirm the filing method and any separate identity-verification or banking requirements for your circumstances.

What does the registered agent receive?

Official papers and legal documents for the entity. Confirm whether ordinary mail forwarding is included separately.

Can the business operate in another state?

Additional state registration may be required where business activities occur. Review the operating footprint before selecting a state.

Are LLC taxes always the same?

No. Ownership, tax elections and activity matter. State-law entity form and federal tax classification are separate questions.

Does registration provide permission to work in the U.S.?

Do not treat incorporation as immigration or employment authorisation. Confirm the relevant requirements before planning work in the country.

Is a corporate seal necessary?

Confirm the selected state’s rules and any bank or transaction-specific request.

Can an LLC issue corporate stock?

LLC interests and corporate shares are different ownership arrangements. Discuss the intended investment structure before formation.
